To be an authorized affiliate of MicroNutra Health™, you agree to abide by the terms and conditions contained in this agreement.

Please read this agreement carefully before registering and using the MicroNutra Health™'s service as an affiliate. By signing up for the MicroNutra Health™'s affiliate program, you indicate your acceptance of this agreement and its terms and conditions.

AFFILIATE PROGRAM TERMS AND CONDITIONS

This general agreement is made and entered by and between and you, the affiliate, contains the complete terms and conditions that apply to your participation in the MicroNutra Health™'s Affiliate Program. Please note: the words "us", "we", and "our" refers to http://www.micronutra.com and the words "your", yours", and "you" refers to the applicant. The term of this agreement will begin once you are accepted into our program. Termination of this agreement may be done at any time, with or without cause, by you or MicroNutra Health™.

The applicant (you) must provide valid contact information and email address which you can be reached by MicroNutra Health™. If the information that you provide us is not accurate, your account will be terminated. (See 2. Termination for more information on termination)

1. Our Rights and Restrictions

   We reserve the right to reject or accept any affiliate that we review. In the event that we accept or reject your application for our affiliate program we will notify you by email within 24-48 hour time frame from the day that the request is made. MicroNutra Health™ will exercise their own discretion during the decision making process and may decide to decline any application we see necessary.

   Possible reasons you would be declined: We do not approve any applicants whose web sites promote the following: Violence Illegal or even borderline-Illegal activities Web sites that could be offensive to any group,race, creed or religion. Or Copyright violations

2. Termination

   The affiliate account may be canceled at anytime by MicroNutra Health™ for any reason we feel appropriate. This is usually a result of misrepresentation, slander made to us, posting MicroNutra Health™ links on unapproved websites, uploading affiliate code using unapproved methods, emails that do not comply to all the rules and regulations pertaining to the CAN SPAM act of 2004 that promote the affiliate, or sites that we feel will give MicroNutra Health™ a bad reputation, see the conditions in 1. All affiliates accounts that do not comply with these terms will automatically be terminated. An email will be sent notifying the affiliate of the termination.

   All affiliates have the option to cancel their account at anytime and for any reason by giving us a written notice of termination.

3. Affiliate links and limitations of Use

   You may use text links and graphics both on your website and in emails. The site may also be advertised "offline" in magazines, newspapers, and also classified ads. You may use the text and graphics that are provided to you from us. All of the links and graphics and account information will be provided to the affiliate after their acceptance into our program. You may create your own as long as they are appropriate and follow the conditions in 2.

   All publicity that makes reference to us should be submitted to MicroNutra Health™ and receive our consent before publishing.

4. Tracking

   MicroNutra Health™ will be solely responsible for orders and tracking clicks made through customers who follow an affiliate's link. When a customer clicks through your affiliate link, a cookie will be set in their browser that contains your affiliate number. Their IP address is then tracked in the database along with your affiliate number. When the potential customer decides to purchase a product, the script will look for this cookie and try to match their IP address to identify the affiliate who will be collecting the commission. Customers that are sent through your affiliate link may make a purchase at a later time and the commission will still be awarded if their browser still contains the cookie and/or they are using the same IP address as the one that is logged in the database.

   The affiliate will not be allowed to communicate to customers in regards to their order or orders placed with MicroNutra Health™. The affiliate will not have access to customer contact information or accounts. MicroNutra Health™ is responsible for order fulfillments, shipping, customer service, and after-order inquiries made with the customer.

   The affiliate is solely responsible for ensuring that their links are formatted and are maintained properly which allows MicroNutra Health™ to track the sales. No commission will be paid if the application cannot be tracked by MicroNutra Health™.

5. International Affiliates

   We welcome affiliates from various countries.

6. Payment

   All commission checks will be processed and mailed monthly to the address you provide on your affiliate account. All monthly commission payouts will be processed on the 1st of every month for all commissions earned in the previous month, however please allow 5-10 days for delivery. There is a minimum payout of $50, if your commissions earned are less than $50 your balance will carry over to the following month.

   The affiliate's commission is based on 25% of the total order amount.

   We reserve the right to void commissions on your account for reasons that we feel are appropriate. It is usually the result (but are not limited to) excessive clicks from the same IP address, fraudulent orders, declines from the referred customers credit card. In the event that this may occur we will notify you.

7. Fraud

   If you commit fraud or falsify information that is being registered from links on your site connected to http://www.micronutra.com, this Agreement will be terminated immediately. In addition, if http://www.micronutra.com suffers damages if any as a result of such actions you will be liable. You will be responsible for returning to http://www.micronutra.com all commissions received for the fraudulent sales. We will pursue legal action against you to the fullest extent possible under the law.

8. Agreement Changes

   MicroNutra Health™ may change the structure and wording of these terms at any time. When or if this occurs all affiliates will be notified within 24 hours.

9. Liability

   We are not making any claims that the affiliate program and/or website will be error-free and we will not be liable for any interruptions or errors. We do not guarantee the ability of the affiliate program to generate income for the applicant or affiliate. We are exempt from any type of guarantee of generating traffic, revenue earned, and the functionality of the affiliate program. We will not be liable for indirect or accidental damages (loss of commissions, revenue) due to loss of database files, affiliate tracking failures, and any results that may harm the program or our website.

This agreement does not constitute a partnership, franchise, joint venture, or any other representative business of MicroNutra Health™. The affiliate(s) is being paid as an independent contractor and in no way is this to be interpreted as being endorsed or represented by MicroNutra Health™. In the event that affiliates become a competitor, all licenses to advertisers content will be revoked immediately. Content, including, but is not limited to, banners, articles, data feeds, provided by MicroNutra Health™ Is copyrighted. You are only granted a temporary license while an affiliate with MicroNutra Health™. No competing ads may be generated, nor revenue using content provided by MicroNutra Health™.

BY ACCEPTING THIS CONTRACT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS AND CONFIRM THAT YOU ARE AN ADULT OF AT LEAST 18 YEARS OF AGE (19 OR 21 WHERE APPLICABLE)
